WireCo WorldGroup, Inc. Closes Private Offering of $150 Million of Senior Notes

KANSAS CITY, Missouri – June 10, 2011– WireCo WorldGroup, Inc. (WireCo) announced the closing of its private offering of senior notes maturing in 2017 under its existing notes indenture.  A total of $150 million aggregate principal amount of notes, which will bear interest at 9.500% per annum, were issued.  WireCo intends to use the proceeds of the offering to prepay a portion of its existing term loan and for general corporate purposes.  Subject to limited exceptions, the notes will be guaranteed by WireCo’s existing and future domestic subsidiaries, as well as its ultimate parent holding company, WireCo Cayman, and certain of its subsidiaries.

The senior notes being offered have not been and will not be registered under the Securities Act of 1933, as amended, or any state securities laws, and may not be offered or sold in the U.S. absent registration or an applicable exemption from registration requirements.  Accordingly, the notes are being offered in the United States only to qualified institutional buyers under Rule 144A of the Securities Act or to non-U.S. persons in transactions outside the United States in compliance with Regulation S under the Securities Act.
